ontem à tarde após uma rápida visita à Colina... infelizmente não pudemos ficar
mais tempo pois minhas férias não duram mais que duas semanas e como fazia um
ano e meio que não vínhamos, precisei ficar mais tempo em casa de minha
família...
We arrived back yesterday afternoon after
a quick visit to Colina. Unfortunately we could not spend more time there
because my holidays do not last more than 2 weeks and as it has been a year and
a half since we last came I needed more time at home with my family.
Fico surpresa,
pois estou te mandando e-mails contínuos nos últimos meses, pedindo para que
vocês avisassem, com antecedência, da vinda de vocês para cá para
podermos realizar a Assembléia para a eleição. Apesar disto só fico sabendo
desta estada de vocês aí na Colina após a saída de vocês.
I am surprised because I have been
constantly sending emails over the last months asking you to tell tell us, ahead
of time, of your coming here so that we could hold an Shareholder Meeting for
election. Despite this I only found out that you were in Colina after you
left.
Confesso que ficamos um pouco tristes ao ver o Hotel fechado, sobretudo após
constatar na RS 020 o movimento de turistas em direção a Gramado (com hotéis
repletos de turistas, imaginamos) e sabendo das dividas da Ocara...
I confess that we were a little sad
to see the Hotel closed, especially after seeing on RS020 the flow of tourists
in the direction of Gramado (where the hotels are full of tourists, we imagine)
and knowing of Ocara's debts.....
Eu e o Celso
estamos mais do que apenas tristes, pois estamos colocando dinheiro no hotel
todos os mêses enquanto ele está fechado, mas acreditamos que nossa parte já foi
feita e, como era de conhecimento de todos os sócios, não tínhamos
interesse em tocá-lo pessoalmente. Nosso compromisso com a empresa era deixar o
hotel em condições de funcionar, o que fizemos, apesar de todas as
dificuldades que encontramos no caminho.
Celso and I are more than just sad,
because we have been putting money into the hotel every month whilst it is
closed. But we believe that our part has been done, and as is common knowledge
of all partners we do not have any interesting in manage it personally. Our
obligation with the hotel was to leave it in working conditions, which we did,
despite all the difficulties that we found along the way.
Tivemos a
oportunidade de conversar bastante com Bonnie e Wayne e compreendemos
perfeitamente a insatisfação deles relacionada aos (des ?) caminhos da Ocara.

We had the opportunity to speak a lot
with Bonnie and Wayne and we understand perfectly their dissatisfaction with
respect to Ocara's ups and downs. We share their worries about the (uncertain)

contrário são estéreis e inúteis as preocupações e conversas
particulares.
This was something to be shared in an
Shareholder Meeting in order to get something done. Otherwise the worries and
private conversations are sterile and useless.
Antes de
partirem da Colina, vocês chegaram a fazer as apresentações entre o Wayne e
Bonnie e o Francisco? Cremos que esta introdução é (seria?) imprescindível pois
trata-se de informar um sócio da chegada (assim como sobre toda a negociação) de
outro. Tal atitude nos parece fundamental, sobretudo após o anúncio formal da
intenção do Francisco de gerenciar o hotel durante as seis semanas entre
dezembro e janeiro próximos.
Before departing from Colina, did you
get around to making introductions between Wayne and Bonnie and Francisco? We
believe such an introduction is (or
would have been) essential since it's necessary to tell old partners of the arrival of new ones (and keep
them up to day on the
negotiations). This seems very important to us, especially given the formal
announcement that Francisco intends to manage the hotel during six weeks between
next December and
January.
Já falamos
antes que ainda não conhecemos o Francisco pessoalmente, apenas por internet e 2
telefonemas de não mais do que 4 minutos cada, então todos estamos no mesmo
patamar neste quesito e não vejo nada de errado nisto. Também, vocês poderão
confirmar através de e-mails antigos e recentes que estamos procurando
novos investidores, e tampouco acho que as apresentações prévias serão
imprescindíveis. Imprescindível é a entrada de recursos novos na empresa para
sanarmos as dívidas e tocarmos a empresa para frente.
Quanto ao
Francisco gerenciar o hotel durante o verão acho ótimo, pois nem você, nem o
Raymond, nem o Wayne, nem meu sogro querem fazer isto e para que tenhamos um
hotel funcionando durante o verão alguém deve faze-lo. Dou graças à Deus
que o Francisco tenha se interessado, pois, como já falei inúmeras vezes, eu e o
Celso não queremos mais ser diretores nem trabalhar no hotel. Para solucionarmos
este impasse deveríamos fazer uma Assembléia com os sócios, como já pedi em
e-mails anteriores.
We have already said that we do not know
Francisco personally, only by Internet and two telephone calls, each of no more
than 4 minutes, so we are all in the same situation in this regard. I see
nothing wrong with this. Also, as you can check in both old and recent
e-mails, we are looking for new
investors, and I don't think that introductions are essential. What is
essential is the entry of new resources into the company to pay off debts and
allow us to move forward. Regarding Francisco managing the hotel during the
summer, I think this is excellent because neither you, nor Raymond nor Wayne nor
my father-in-law wish to do this, and in order to have the hotel working during
the summer somebody must do this. Thank God Francisco has shown an
interest because as I have said numerous times, Celso and I do not want to be
directors anymore nor work in the hotel. In order to arrive at a solution to
this predicament we must have an Shareholder Meeting with all shareholders, as I
have requested in previous e-mails.

Hoje pela manhã tivemos a oportunidade de conversar, por telefone, pela primeira
vez. Esta discussão foi extremamente interessante, mas é estranho o fato (não?)
de não termos sido apresentados formalmente ao Francisco, pelo Celso e você.
Afinal de contas vocês estiveram à frente do contato que se transformaria numa

As you have seen through previous
e-mails we have been in correspondence with Francisco. This morning we had the
opportunity to talk by telephone for the first time. This discussion was
extremely interesting, but it is a strange fact ( isn't it?) that we have not
been introduced formally to Francisco by Celso or you. After all you have
initiated the contacts that turned into his buying into the company. ( Have I
understood correctly that this is the case?)

duvida exatamente neste aspecto: no movimento de caixa de novembro 2003 é citada
a venda de ``3% ações da Ocara + CNCS'' pelo valor de R$ 61.635,15. Deduzo que no
mês citado Francisco adquiriu 3% das ações da Ocara. Minha dedução é
correta?

regarding this. In the accounts for November 2003 there is a statement to the
effect that 3% of Ocara and CNCS shares were sold for R$61,635.15. I deduce that on that month Francisco acquired 3%
of Ocara shares. Is my deduction correct?

Recebi há
alguns dias as cópias dos contratos da Ocara que Rosane (do escritório Servicom)
nos enviou. As ditas cópias me pareceram incompletas, pois a redistribuição das
quotas da Ocara (discutidas em nossa única reunião realizada na casa do Wayne em
dezembro 2003, se me lembro bem) não figura entre as cópias recebidas, nem
tampouco o nome do Francisco figura nos referidos documentos.
I received some days back copies of
the Ocara contracts that Rosane ( from the Servicom office) sent us. They seem
incomplete to me, because the redistribution of the Ocara shares (discussed in
our only meeting held in Wayne's house in December 2003 if I remember correctly)
is not included, nor is the name of Francisco in the referred
documents.

redistribuição das ações está no livro de Transferência de Ações, é só pedir
para ela tirar xerox das páginas onde foram feitas as trasnferências, na
presença de vocês, onde vocês mesmos assinaram. As ações do Francisco estão
lançadas na contabilidade como depósito para aumento de capital da empresa, que,
assim que fizermos outra reunião e a dita cuja Assembléia, ele será colocado
como acionista. Nisto não há prejuízo nem para ele nem para a empresa, é legal,
e é assim que será feito caso entre outros sócios. A parte de todos os sócios
hoje será redistribuída até que fiquemos com a quantidade de ações que teríamos
quando começamos com a empresa, ainda falta vendermos 27% das ações . Estas
ações estão sendo oferecidas por nós, pelo Francisco e pelo Fritz. Quem
vender terá direito a 10% de comissão sobre o valor negociado. Todos os
sócios poderão vender estas ações para investidores interessados e receber a
comissão pela venda.
The redistribution of shares is stated
in the Share Transfer Book. All you have to do is ask her to make xerox copies
of the pages where the transfers were made, in your presence, where you

questão nebulosa... a colaboração do Francisco no gerenciamento do hotel durante

reiterou sua disponibilidade na conversação telefônica de hoje) mas, te
pergunto, como ele poderá gerenciar o hotel sem funcionário? Sobretudo após o
desaparecimento da Cooperativa? Pelo que soube nesta nossa última visita à
Colina, alguns dos ex cooperativados entraram com ações trabalhistas contra o
CNCS!
Another tricky point... Francisco's
work in managing the hotel during six weeks between December 2004 and January
2005 is practically certain ( he confirmed his availability on the phone today)
but I ask you, how can he manage a hotel without employees? Especially after the
disappearance of the Cooperative? And we heard in our last visit to Colina that
some of the ex-cooperative members are suing CNCS under labour laws!

desapareceu porque o Conselho Deliberativo do Clube assim o quis. Infelizmente o
C.D. não acertou as
pendências do Clube com a cooperativa lesando os cooperados que, é claro, se
voltaram contra
o Clube. O
Celso mandou um e-mail na época falando que era injusto e que isto acarretaria
ações trabalhistas e abalo de imagem/confiança entre as pessoas do Morro da
Pedra e da Colina do Sol .Infelizmente eles não pagam pelos erros que cometem e
sim a coletividade. Faz parte do processo de amadurecimento.
The cooperative disappeared because the
Club's Deliberative Council wanted it that way. Unfortunately the DC did not
resolve outstanding matters between the club and the cooperative, and so harmed
the interests of cooperative
members who, obviously, came out against the club. Celso sent an e-mail at the
time saying it was unfair to disband the cooperative and that this would lead to
labour suits and be detrimental to the image of Colina do Sol and to the
confidence people in Morro da Pedra had on it. Unfortunately they do not pay for
the errors they commit -- instead the community does. Growing pains, I
suppose.
Quanto ao
hotel, treinei pessoalmente, como vocês sabem, várias pessoas para trabalhar no
hotel como camareiras, copeiras, cozinheiras e atendentes de balcão. Neste
primeiro momento, apenas 1 funcionária como a Maria ou a Regina dariam conta do
recado. Se necessitar de mais pessoas quando o hotel estiver com hóspedes, ainda
tem a Euvira. Caso ainda assim necessite de outros funcionários, pode-se
contratar através de 4 agências de emprego que Taquara possui. Nosso maior
problema é colocar gente no hotel e fazê-lo funcionar para pagarmos as dívidas
do hotel e conseguirmos retorno dos nossos investimentos
So far as the hotel is concerned, I
personally trained several people to work in the hotel as chambermaids, pantry
maids, cooks and reception clerks, as you know. At the present time only 1
employee such as Maria or Regina will be enough to look after it. If need arises
for more people when the hotel has guests there is still Euvira. In the event
that more employees are needed you can hire them through 4 employment agencies in
Taquara. Our greatest problem is to find guests for the hotel and make it work
so that we can pay the hotel's debts and obtain a return on our

está atualmente nos EUA vendendo diárias do hotel (ou ele está lá

In your e-mail you state that Fritz
is in the United States at the present time selling hotel rooms (or is he there

então deve saber como fazer um hotel funcionar em poucos dias. Pois até eu seria

Francisco is aware of the hotel's
conditions, and besides he owns a guesthouse in Goias, and therefore must know

Pelo que
conseguimos entender até aqui, está parecendo que nosso hotel só funcionará no
verão, é isto que vocês estão planejando? Como faremos para fazer frente aos
custos fixos e, sobretudo, ao pagamento das dividas?

Isso
tudo deve ser resolvido em Assembléia. Aproveito para anunciar que eu e o
Celso não temos mais condições de continuar emprestando dinheiro para a Ocara,
portanto, estamos prontos para perder o hotel para o banco, se este for o
caso. Não podemos mais continuar, pois já utilizamos até mesmo um dinheiro
que tínhamos tomado emprestado, pessoalmente, no começo do ano para terminarmos
o nosso barco: emprestamos para o hotel. Agora esta reserva também já acabou.
Está na hora de achar outra fonte ou solução para a parcela de juros que vencerá
dia 15 de outubro. Aproveito para comunicar que estamos fazendo anúncios para
vendermos o hotel todo, por US$500 mil. Desse valor, caso venha a ser vendido,
serão descontadas as dívidas com o BRDE, e com os demais credores, no valor
aproximado de US$100 mil, mais US$50 mil de comissão para quem vender. Do saldo,
devolveremos para o Wayne os US$125 mil deles, mais os US$20 mil do francisco,
mais o valor que vocês já tiverem integralizado até a ocasião, e nós
ficaremos com o que sobrar. Caso algum sócio não esteja de acordo deverá entrar
em contato comigo e com o Celso para dar outra sugestão para a solução dos
problemas que estamos enfrentando no momento.
All this must be decided at a
Shareholder Meeting. I take this opportunity to say that Celso and I can no
longer continue to lend money to Ocara and we are ready to let the bank
foreclose if it comes to that. We cannot spend any more, because we have used
even a loan that we raised, personally, at the beginning of the year in order to
complete the construction of our boat -- even that we lent to the hotel. Now
this reserve money has also gone. It is time to find another source or solution
for the interest payment which falls due on 15th October. I take this
opportunity to say that we are advertising the sale of the whole hotel for
US$500,000. This amount, should it be sold, will go toward paying debts with
BRDE and with other creditors, totaling approximately US$100,000, plus US$50,000
commission for whoever makes the sale; from the balance, we shall return
US$120,000 to Wayne and US$20,000 to Francisco and in addition the amount that
you have put in up to that date, and we shall keep whatever is left over. If any
shareholder is not in agreement he should contact me or Celso to offer another
suggestion to solve the problems that we are facing at the present
time.
Dúvidas e
mais dúvidas... Em fevereiro do próximo ano (em data ainda a definir, certamente
evitaremos o período do carnaval) retornaremos ao Brasil por duas
semanas...

February next year ( dates to be determined, but certainly we shall avoid the
