STATUTES OF THE NATURIST CLUB COLINA DO SOL - CNCS

CAPÍTULO I - DENOMINAÇÃO, SEDE, FORO, DURAÇÃO E OBJETIVOS SOCIAIS

CHAPTER I - NAME, LOCATION, JURISDICTION, DURATION AND SOCIAL OBJECTIVES

Art. 1º - Com a mesma denominação com que foi fundado aos 15 dias do mês de agosto de 1995, o CLUBE NATURISTA COLINA DO SOL - CNCS é uma sociedade civil, de fins não econômicos, de duração indeterminada, com sede na localidade de Colina do Sol, distrito de Morro da Pedra, município de Taquara, RS, e reger-se-á pelos presentes Estatutos, que importam na reforma geral dos anteriores, e bem assim pela legislação adequada, naquilo que lhe for aplicável.

Art. 1º - Maintaining the same name that it had when it was founded on August 15, 1995, the COLINA DO SOL NATURIST CLUB - CNCS - is a nonprofit, private entity established under civil law; with a duration of an undetermined period of time, located in the municipal district of Taquara/RS in a place known as Colina do Sol (the Hill of The Sun) near the district of Morro da Pedra (Hill of the Stone), which shall be governed by these Statutes which replace the prior statutes and, wherever applicable, by regular laws.

Parágrafo único. O CNCS foi fundado no dia 15 de agosto de 1995 (mil novecentos e noventa e cinco) por Celso Rossi, Esis Barros Rocha, Maurino Loch e Paula Fernanda Andreazza, conforme Ata de Assembléia No.1.

Item 1. The CNCS was founded on August 15, 1995 by Celso Rossi, Esis Barros Rocha, Maurino Loch and Paula Fernanda Andreazza, as recorded in the minutes of the General Assembly meeting No.1.

Art. 2º- A sede e foro do CNCS são na cidade de Taquara, Estado do Rio Grande do Sul. O CNCS terá como fonte de recursos a arrecadação de mensalidades, contribuições, taxas, jóias, emolumentos, produto da venda de títulos, concessões e transferências de outras entidades a título de auxilios ou convênios.

Art. 2º- The location and jurisdiction of the CNCS is the city of Taquara in the state of Rio Grande do Sul. The CNCS derives its revenues from member fees, contributions, sales of titles and concessions and fees charged thereon, and funds received from other entities as an aid or accord.

Art. 3º- A duração da sociedade será por tempo indeterminado, tendo, na forma legal, personalidade distinta da dos seus sócios.

Art. 3º- The duration of the society will be for an undetermined period of time and with legal existence independent of the Club's members.

Art. 4º - Constituem objetivos básicos da entidade:
1) Promover a difusão da filosofia e da prática do Naturismo, organizando e mantendo o Centro Naturista Colina do Sol, localizado na sede da sociedade.
2) Instituir as normas de ocupação e uso da sede social por parte dos associados e freqüentadores.
3) Promover atividades culturais, esportivas, recreativas e de assistência social.
4) Promover o intercâmbio com entidades congêneres, podendo participar como associada, correspondente ou qualquer outra forma de representação em organizações não governamentais, empresas, fundações e associações do país ou do exterior.

Art. 4º - The basic objectives of the CNCS are:
1) To foster the diffusion of the philosophy and practice of Naturism by organizing and maintaining the Naturist Center of Colina do Sol located in the Club's headquarters;
2) To establish the rules for occupying and using the Club's headquarters by the members and visitors;
3) To promote cultural, recreational, athletic activities and social welfare;
4) To promote the interchange with similar entities, where the Club may participate as a member, correspondent, or as another form of representative in nongovernmental organizations, companies, foundations and associations within Brazil, or in other countries.

First Paragraph: In the accomplishment of the Club's objectives, the Club will not seek the attainment of profits.

Parágrafo único. Na consecução de seus objetivos a sociedade não visará a obtenção de lucros.

CAPÍTULO II - SÓCIOS, CATEGORIAS, DIREITOS E DEVERES

CHAPTER II - MEMBERS, CATEGORIES, RIGHTS AND DUTIES

Art. 5º - O CNCS possui Sócios Titulares Patrimoniais, Sócios Titulares Residenciais e Sócios Honorários, bem como Mensalistas. São Sócios Titulares Patrimoniais e/ou residenciais os proprietários de um ou mais dos respectivos títulos. São Sócios Honorários aqueles escolhidos de acordo com o Art. 14º. São Mensalistas aqueles que, não sendo Sócios Titulares ou Honorários, têm direito de freqüentar o CNCS regularmente e de participar de suas atividades, mediante contribuições mensais.

Art. 5º - The CNCS has Patrimonial Title Members, Residential Title Members, Honorary Members, and Dues-payers. Patrimonial and/or Residential Title Members are those who own at least one title of the corresponding type. Honorary Members are those chosen according to Art. 14º. Dues-payers are those who, though not being Title Members or Honorary Members, nonetheless are allowed to attend the CNCS regularly and to participate in its activities, by paying monthly dues.

Parágrafo único. Para os fins deste estatuto o termo sócio emprega-se como sinônimo de associado e restringe-se aos Sócios Titulares e Honorários. Informalmente os Mensalistas podem ser chamados de sócios sem que com isso se constituam em sócios stricto sensu para finalidades legais.

Item One. For the purposes of these statutes the term Member is used interchangeably with Associate and it refers exclusively to Title Members and Patrimonial Members. Informally, dues-payers may be called members without this meaning that they are members in the strict sense.

Art. 6º - São Sócios Titulares Patrimoniais os proprietários de títulos patrimoniais, tendo direito a participarem no patrimônio do CNCS. Os títulos patrimoniais adquiridos antes da aprovação do presente estatuto são mantidos.

Art. 6º - Patrimonial Title Members are the owners of patrimonial titles, and have the right to share in the assets of the CNCS. Patrimonial titles acquired before the approval of the present statute are maintained.

§1°- É limitado em duzentos o número de títulos patrimoniais do CNCS.

§1°- The number of CNCS Patrimonial Titles shall not exceed two hundred.

§2°- Ao cônjuge sobrevivente ou a um dos sucessores do titular patrimonial será facultada, em qualquer tempo, a possibilidade de ingressar na sociedade, com os mesmos títulos que foram utilizados e vinculados ao seu direito de freqüentar o Clube.

Restored this item, there must be some provision for patrimonial title transfer by inheritance. Other types of transfer are dealt with in §5 below.

§2°- To the surviving spouse or one of the heirs of the Patrimonial Member will be granted, at any time, the possibility of admission into the Club, with the same title that had been validly coupled with the deceased Patrimonial Member's right to use the Club.

§4°- Os titulares patrimoniais são isentos do pagamento de mensalidades, obrigando-se, entretanto, caso sejam detentores de títulos residenciais e/ou concessões, ao pagamento da respectiva taxa de manutenção nos valores estabelecidos pelo Clube.

§4°- Patrimonial Members are exempt from the payment of monthly dues, but if they hold residential titles or any type of concession, they must pay the corresponding maintenance fees established by the Club.

§5°- As transferências por atos inter vivos de títulos patrimoniais estão sujeitas ao pagamento de taxa fixada pela Diretoria.

§5°- The transfer of Patrimonial Titles other than by inheritance will be subject to the payment of transfer taxes as established by the Board of Directors.

Art. 10º - São Sócios Titulares Residenciais os concessionários residenciais que tenham moradia na Colina do Sol vinculada à sua concessão residencial e estejam em dia com suas obrigações com o Clube.

Art. 10º - Residential Title Members are residential concession holders who have a residence at Colina do Sol tied to their residential concession(s) are up-to-date with their financial obligations toward the Club.

Art. 11º - Mensalistas são as pessoas civilmente capazes que, não possuindo título patrimonial ou residencial do CNCS, paguem um valor que será fixado pelo Clube a título de jóia, o que gera um direito pessoal e intransferível que persistirá enquanto permanecer o indivíduo em dia com o pagamento das mensalidades fixadas pelo clube.

Art. 11º - Dues-payers are the legally capable persons who, not owning CNCS patrimonial or residential titles, pay a joining fee set by the Club, which establishes their status, on a personal and nontransferable basis, as long as they pay monthly dues set by the Club.

§1°- Ficam extintas as categorias de Sócios Prioritários e Contribuintes do CNCS, sendo os que nela se enquadravam quando da aprovação deste estatuto automaticamente convertidos em Mensalistas sem pagamento de jóia, sendo-lhes facultado ao invés disso o desligamento do clube através de pedido por escrito.

§1°- The categories of Priority and Contributing Members of the CNCS are discontinued, and those who belonged to them automatically become Dues-Payers upon approval of this statute, without paying a joining fee; moreover they can instead leave the Club by so requesting in writing.

§2°- O Mensalista pode se tornar a qualquer tempo Sócio Titular Patrimonial mediante aquisição do respectivo título, havendo disponibilidade.

§2°- A Dues-Payer may become at any time a Patrimonial Title Member by acquiring the corresponding title, if one is available.

§3° - O Mensalista pode a qualquer tempo adquirir Concessão Residencial, havendo disponibilidade, e estará isento de pagamento de jóia de aquisição já possuir Concessão Residencial ou se tiver sido Sócio Prioritário.

This item reflects the decision made at the Skype meeting to deny the current Contributing members the exact same rights as Priority members. An ex-contributing member pays an "Acquisition fee" the FIRST TIME he buys a residential concession, while an ex-priority member pays no such fee. NOTE: The condition "if the buyer already owns a Residential Concession" below is not redundant! It covers the case of an ex-Contributing member who has already paid once for a Residential Concession (under the new statutes) and is now buying a second one.

§3° - A Dues-Payer can at any time acquire a Residential Concession, if one is available, and no acquisition fee will be charged by the Club if the buyer already owns a Residential Concession or in the case of an ex-priority-member.

Art. 14º - São Sócios Honorários as pessoas que tenham prestado relevantes serviços ao naturismo, reconhecidos e aprovados pela Assembléia Geral após indicação do Conselho Deliberativo ou de, no mínimo, 1/5 dos Sócios Titulares.

Art. 14º - Honorary Members are persons who have performed significant services on behalf of Naturism, and, having been nominated by the Deliberative Council or by 1/5 of Title Members, are recognized as such by a General Assembly vote.

Parágrafo Único - Não perdem o título aqueles que tenham sido agraciados até esta data.

Paragraph One - Honorary Members appointed prior to this date shall continue to hold their honorary titles.

CAPÍTULO III - DOS DIREITOS

CHAPTER III - RIGHTS

Art. 15º - Os Sócios e Mensalistas gozam do direito de freqüentar o CNCS e suas dependências, na companhia
- do cônjuge ou do convivente;
- dos filhos e das filhas menores de 21 anos;
- dos menores de 21 anos cuja guarda lhe foi confiada, ou ao seu cônjuge ou convivente, por ordem judicial;
- de convidados, observados os limites estabelecidos por regulamento do CNCS.

Art. 15º - Members and Dues-Payers enjoy the right to visit Colina do Sol and use its amenities accompanied by their
- spouse or equivalent,
- sons and daughters under the age of 21,
- dependents under 21 whose care has been officially given to the Patrimonial Member (or spouse or equivalent) by judicial order;
- guests, up to the limits established by CNCS regulations.

Parágrafo único - O exercício deste direito fica sujeito aos limites e restrições constantes de regulamentos, resoluções e avisos.

Item 1 - The exercise of this right is subject to the limits and restrictions set forth in the Club's rules, resolutions, and announcements.

Art. 16º - Aos Sócios Titulares Patrimoniais cabe o direito de participarem do rateio do líquido do acervo social, na proporção dos títulos que possuírem, no caso de dissolução e liquidação da sociedade.

Art. 16º - Patrimonial Title Members are granted the right to a share of the Club's liquid assets, proportional to the number of titles they hold, in the case of dissolution and/or liquidation of the Club.

Art. 17º - Aos Sócios Titulares Patrimoniais e Residenciais cabe ainda o direito de tomar parte na Assembléia Geral, onde poderão propor, discutir e votar todos os assuntos que dela forem objeto, exceção feita ao que diga respeito diretamente ao patrimônio do CNCS, sobre o que podem deliberar e votar apenas os Sócios Titulares Patrimoniais.

Art. 17º - Patrimonial and Residential Title Members have also the right to take part in the General Assembly, where they can make proposals, discuss and vote on all subjects under consideration, with the exception that only Patrimonial Title Members can deliberate and decide on matters that concern directly the CNCS's assets.

Parágrafo único - Para os fins deste artigo os Estatutos do Clube fazem parte do patrimônio.

Item 1 - For the purposes of this article the Club's Statutes are part of its assets.

CAPÍTULO IV - DOS DEVERES

CHAPTER IV - DUTIES

Art. 19º - São deveres dos Sócios e Mensalistas zelar pelo patrimônio do CNCS, cumprir o estatuto e os códigos de ética e conduta editados pelo CNCS e pela Federação Brasileira de Naturismo, e pagar, mensalmente, os encargos a que estiverem sujeitos, em razão da sua categoria social e condição de concessionário perante o Clube.

Art. 19º - All Members and Dues-Payers have the following duties: caring for the Club's property, observing and helping to enforce the statutes and the ethics code set forth by the CNCS and the Brazilian Naturist Federation, and paying their dues monthly, according to their membership status and concessions held in the Club.

CAPÍTULO V - ADMISSÃO, PUNIÇÃO E ELIMINAÇÃO

CHAPTER V - ADMISSION, PUNISHMENT AND ELIMINATION

Art. 20º - A menos que seja vetada em conformidade com o Parágrafo Único do presente artigo, a admissão de Sócios e de Mensalistas se efetivará automaticamente seis meses após sua solicitação de ingresso e quitação dos respectivos pagamentos, desfrutando os mesmos, até então, provisoriamente, de todos os direitos da categoria social na qual se hajam inscrito.

Art. 20º - Unless vetoed according to Paragraph One of this article, a Member or Dues-Payer's affiliation shall automatically become effective six months after the new member's membership application, and payment of the respective fees. During this initial six-month period the new member shall enjoy all rights of their membership category.

Parágrafo Único: Qualquer novo sócio, ou mudança de categoria social, poderá ser vetado pelo Conselho Deliberativo num prazo de seis meses a contar da data de solicitação.

Paragraph One: The Deliberative Council, for a period of six months beginning at the date that a new member applies for membership, or the date when any member applies to change their membership category, may veto the member´s request.

Art. 23º - São motivos para exclusão de Sócios e Mensalistas a solicitação própria de demissão, o atraso superior a noventa dias nos pagamentos a que estiverem sujeitos, a infração de normas referidas no Artigo 19, falta grave ou sério dano à imagem ou patrimônio do clube.

Art. 23º - Reasons for terminating a Member's or Dues-Payer's association with the CNCS are: an individual's own request for discontinuation; being more than 90 days in arrears; infractions against the rules mentioned in Article 19; and behavior resulting in serious damage to the Club's property or reputation.

§1°- Nos casos acima referidos de infrações, faltas ou danos, o Conselho Deliberativo do CNCS decidirá sobre a exclusão, podendo o excluído recorrer à Assembléia Geral, que se realizará dentro de três meses a partir da exclusão, sem a confirmação da qual o recurso resultará em rescisão da decisão. É assegurado o direito de defesa do acusado, podendo fazer-se representar por pessoa de sua escolha.

§1°- In the case of infractions or damaging behavior as specified above, the Deliberative Council shall decide whether to expel, and in the case of expulsion the expelled member may appeal to the General Assembly, which must meet within three months of the Council's decision; the latter will be void in the case of an appeal, should the General Assembly not confirm the Council's decision. The accused shall have the right of defense and of being represented by a person of his/her choice.

§2°- As exclusões por inadimplência seguirão procedimento estabelecido por regulamento.

§2°- Expulsions for nonpayment shall follow the procedure set forth in internal regulations.

§3°- Em caso de exclusão de Sócios Titulares, o Conselho Deliberativo decidirá sobre o destino dos direitos relativos aos contratos rescindidos e dos títulos reavidos.

§3°- When a Title Member is expelled, the Deliberative Council will decide on the fate and future of the rights inherent in the canceled contracts and revoked titles.

Art. 24º - Faltas disciplinares que não resultem em exclusão podem ser punidas por advertências e suspensões de até seis meses a critério do Conselho Deliberativo, sendo observado o direito de defesa.

Art. 24º - Disciplinary Infractions that do not lead to exclusion may be punished by warnings or suspensions of up to six months by the Deliberative Council, the right of defense being assured.

CAPÍTULO VI - NÃO RESPONSABILIDADE DOS SÓCIOS

CHAPTER VI - NON-LIABILITY OF MEMBERS

Art. 25º - Os Sócios e Mensalistas não respondem individual, solidária ou subsidiariamente pelas obrigações contraídas pela sociedade.

Art. 25º - Members and Dues-Payers are not liable individually, collectively or responsible for the obligations contracted by the Club.

CAPÍTULO VIII - DOS PODERES

CHAPTER VIII - GOVERNING STRUCTURE

Art. 26º - São órgãos do CNCS, em ordem hierárquica, a Assembléia Geral dos Sócios Titulares, o Conselho Deliberativo, o Conselho Fiscal e, caso os haja, os Diretores.

Art. 26º - The government of the CNCS is entrusted to the following entities, in descending order of authority: the General Assembly of Title Members, the Deliberative Council, the Fiscal Council, and, should there be any, the Directors of the CNCS.

Art. 27º - Compete à Assembléia Geral eleger o Conselho Deliberativo e o Conselho Fiscal, votar sobre as propostas de Sócios Honorários, apreciar as contas do clube após o exame pelo Conselho Fiscal e instituir reformas neste Estatuto, podendo ainda vetar as decisões do Conselho Deliberativo e dos Diretores de acordo com o disposto no Art. 28, parágrafo 4.

Art. 27º - The General Assembly shall elect the Deliberative Council and the Fiscal Council, vote on the nomination of Honorary Members; to approve the bills of the club after they are examined and approved by The Fiscal Council; and to approve reforms in the governing rules and Statutes; it may also veto decisions of the Deliberative Council, according to Art. 28, §4.

§1°- A participação na Assembléia Geral é regida pelas condições do Art. 17, item a), sendo que cada sócio disporá na Assembléia de apenas um voto, seja qual for o número de títulos que possuir, podendo fazer valer seu voto por correspondência, inclusive por meios eletrônicos devidamente autenticados, ou ainda por procuração, não podendo o mesmo procurador representar mais de três sócios além de si mesmo. O cônjuge ou convivente de sócio titular pode estar presente às Assembléias.

§1°- Participation in the General Assembly is governed by the conditions set for in Art. 17, item a), each member having the right to cast one vote, whatever the number of titles he possesses, and having the right to cast votes by mail or email, with appropriate authentication procedures, or yet by proxy, with the proviso that a proxy-holder cannot represent more than three members besides himself or herself. The spouse or equivalent of a title holder may be present at Assembly meetings.

§2°- A Assembléia Geral será convocada por um quinto dos Sócios Titulares, pelo Conselho Deliberativo ou pelo Conselho Fiscal, com exceção da Assembléia regulada pelo Art. 33 deste estatuto, que será realizada ordinariamente, independente de convocação.

This now follows Article 60 of the Civil Code, which says: A convocação da assembléia geral far-se-á na forma do estatuto, garantido a um quinto dos associados o direito de promovê-la.

§2°- The General Assembly shall convene upon the request of one fifth of Title Members, of the Deliberative Council or of the Fiscal Council, except for the yearly meeting set forth in Art. 33 of this statute, which shall take place as a matter of course, regardless of convocation.

§3°- A convocação da Assembléia Geral ocorrerá pelo menos 30 dias antes da data prevista e incluirá a data, hora e local da Assembléia, bem como sua pauta e o texto de qualquer resolução ou mudança dos estatutos proposta, para permitir aos sócios a análise prévia e a troca de idéias. Caso sejam durante a Assembléia propostas e aprovadas emendas ao texto da resolução ou da mudança de estatutos, será elaborada pelo Conselho Deliberativo uma versão consolidada do referido texto, que no entanto só vigerá se aprovada mediante contagem separada de votos ocorrida entre 15 e 21 dias após a divulgação das atas da Assembléia em que se originou, sendo solicitado mediante essa divulgação o voto de todos os sócios sobre as questões pendentes dentro do período de 15 dias.

§3°- A call for a General Assembly must take place at least 30 days before the date of the meeting, and it shall include the date, time and venue of the meeting, as well as its agenda and the text of any proposed resolution or change in statutes, in order to allow members to study and discuss the issues. Should, during the meeting, amendments to the text of a resolution or change in statutes be proposed and approved, the Deliberative Council shall prepare a consolidated version incorporating such amendments, but it will only take effect if approved in a separate vote counted within 15 to 21 days after a mailing is sent out to the Membership containing the minutes of the Assembly in question and the request that all members vote on the pending matters within 15 days.

§4°- As decisões da Assembléia Geral requerem o voto favorável da maioria dos Sócios Titulares que votarem sobre a questão (não contando abstenções) ou de um terço de todos os Sócios Titulares, seja qual for o número maior.

The two minimums in this article (a majority of ACTUAL VOTERS, and at least 1/3 or so of POTENTIAL VOTERS) are necessary, so rules don't get passed by the will of a small active minority.

§4°- Decisions of the General Assembly require a favorable vote on the part of a majority of Title Members who vote on the matter at hand (not counting abstentions) or one third of all Title Members, whichever is greater.

Art. 28º - Compete ao Conselho Deliberativo elaborar o Regimento Interno, dispor sobre a administração e destino dos recursos do clube, contratar e demitir os Diretores que julgar necessários, com poder de revogar ou vetar os atos destes.

Art. 28º - It falls upon the Deliberative Council to discuss the Internal Regulations, administration and use of the resources of the club, to negotiate with and to dismiss the Directors and to revoke and or invalidate actions taken by these Directors that the Council feels are not in the best interest of the Club.

§1°- O Conselho Deliberativo é composto de nove Conselheiros, sendo no mínimo cinco Titulares Patrimoniais a qualquer tempo. Os nove Conselheiros em exercício e três suplentes serão eleitos para um mandato de dois anos pela Assembléia Geral regular nos anos ímpares, sendo que no mínimo sete dos doze eleitos serão Titulares Patrimoniais. No caso de desistência ou afastamento prolongado de um Conselheiro em exercício, será este substituído por um suplente; caso não haja mais suplentes que preencham os requisitos, será convocada Assembléia Geral para a eleição de três novos suplentes. I wasn't sure if you want 3 suplentes or 4. If you want 4, just change it accordingly (also changing the total from 12 to 13 - but beware of bad luck! :-)

§1°- The Deliberative Council is made up of nine Councilmembers, at least five being Patrimonial Title holders at any time. The nine active Counselors and three substitutes will be elected by the regularly scheduled General Assembly on odd-numbered years for a two-year term; of the twelve people elected at least seven shall be Patrimonial Title holders. Should an active Councilmember resign or be absent for a long period, he/she will be replaced by a substitute; if there are no more qualifying substitutes, a General Assembly will be called in order to elect three new substitutes.

Paragraph 2 from the Dec 11 draft was in part a duplication of paragraph 9. It has now been merged with it and appears as paragraph 4 rather than here, to maintain continuity of subject matter.

§2°- Podem ser eleitos ao Conselho Deliberativo apenas os Titulares Patrimoniais e Residenciais que já sejam sócios ou mensalistas há pelo menos dois anos na data da eleição, e que estejam em dia com suas obrigações financeiras junto ao clube por um período mínimo de seis meses.

§2°- To be eligible for the Deliberative Council one must be a Patrimonial or Residential Title Member, must have been a Member or Dues-Payer for at least two years as of the date of the election, and must have been current in all financial obligations to the Club in the six months before the election.

§3°- As decisões do Conselho Deliberativo requerem um mínimo de cinco (5) votos favoráveis de Conselheiros em exercício.

§3°- Decisions of the Deliberative Council require a minimum of cinco (5) favorable votes by active Councilmembers.

§4°- Para a prática dos atos decorrentes das suas decisões, o Conselho Deliberativo elegerá dois de seus membros, que assinarão sempre em conjunto, representando o CNCS, ativa e passivamente, em juízo e fora dele, e que se denominarão Presidente e Vice-Presidente do CNCS para os fins de direito. Poderá também nomear seus membros para ocupar, em caráter voluntário e não-remunerado, qualquer dos cargos de Diretoria descritos no Artigo 30º.

The Dec 11 draft mentioned the Manual do Conselho Deliberativo at this point. This is now in paragraph 8 below.

§4°- The Deliberative Council shall elect two of its members to represent the CNCS as President and Vice-President and they shall both sign the documents resulting from the actions and decisions of the Deliberative Council. The Council may also appoint some of its members to be hold any of the positions listed in Article 30, on a voluntary basis and without remuneration.

§5°- O Conselho Deliberativo reunir-se-á pelo menos uma vez por mês, podendo reunir-se com mais freqüência conforme julgar necessário. Os Conselheiros em exercício serão informados das reuniões extraordinárias com antecedência. As atas de cada reunião serão preparadas e comunicadas aos demais Conselheiros prontamente, para serem submetidas à reunião seguinte para aprovação, com ou sem leitura em voz alta, e refletirão no mínimo o resultado de cada votação incluindo o número de votos contra e a favor, bem como o texto de qualquer novo regulamento ou mudança nos regulamentos. Após aprovação as atas serão disponibilizadas aos Sócios e Mensalistas.

§5°- The Deliberative Council will meet at least once a month, but it can meet more often if it finds it necessary to do so. Active Councilmembers will be informed of the dates and times of non-regularly scheduled meetings ahead of time. The minutes of each meeting shall be prepared and shared with other Councilmembers promptly, so they can be submitted for approval at the next meeting, with or without being read aloud. They shall reflect at least the result of each election including the number of votes for and against, as well as the text of any new regulation or change in regulations. After approval the minutes shall be made available to Members and Dues-Payers.

§6°- Qualquer decisão do Conselho Deliberativo poderá ser vetada por solicitação assinada por um terço dos Sócios Titulares, num prazo de sessenta dias a partir da divulgação da ata correspondente, para reexame em Assembléia Geral, convocada pelo próprio Conselho Deliberativo, que terá lugar dentro de sessenta dias após a apresentação das assinaturas, e anunciada de acordo com o Art. 27, §3.

§6°- Any decision of the Deliberative Council can be vetoed through a request signed by a third of the Title Members within sixty days of the issuance of the corresponding minutes, and shall then be reexamined at a General Assembly, summoned by the Deliberative Council, to take place within sixty days of receipt of the signed request, and announced in conformity with Art. 27, §3.

§7°- As reuniões do Conselho Deliberativo serão abertas aos Sócios e aos Mensalistas, exceto quando o assunto em pauta for de natureza disciplinar, em cujo caso apenas os diretamente interessados podem solicitar permissão para estarem presentes. Em nenhum caso a audiência poderá interromper as sessões do Conselho Deliberativo através de manifestações, reservando-se a palavra aos Conselheiros e àqueles a quem os Conselheiros a quiserem dar.

§7°- Meetings of the Deliberative Council are open to Members and Dues-Payers, except when the business in question is of a disciplinary nature, in which case only those who are directly involved may request permission to be present. There shall be no audience interruptions or demonstrations during meetings of the Deliberative Council, and only the Councilmembers and those whom they recognize shall have the right to speak.

Art. 29º - O Conselho Fiscal é formado por três pessoas, naturistas ou não, escolhidas pela Assembléia Geral, com mandato coincidente ao do Conselho Deliberativo, a ele competindo fiscalizar as contas e os atos dos Diretores e do Conselho Deliberativo.

Art. 29º - The Fiscal Council consists of three persons, naturists or not, chosen at a General Assembly, and having the same terms as the Deliberative Council. This Fiscal Council has the mandate to oversee the accounting and the actions of the Directors and of the Deliberative Council.

Art. 30º - O Conselho Deliberativo poderá contratar funcionários pagos para o CNCS, para exercer funções tais como Tesoureiro, Secretário, Diretor Administrativo, Diretor Social e outras que se fizerem mister, criando ou extingüindo tais cargos conforme a necessidade. Tais funcionários são coletivamente chamados nestes estatutos de os Diretores. Enquanto remunerados os Diretores não poderão pertencer ao Conselho Deliberativo.

Art. 30º - The Deliberative Council may hire paid employees for the CNCS to occupy positions such as Treasurer, Secretary, Administrative Director, Social Director and others, creating and terminating such positions as needed. In these statutes such employees are collectively called the Club Directors. A paid Director cannot be a member of the Deliberative Council.

§1° - Os Diretores não terão poder para representar o clube, a não ser quando expressamente autorizados, mediante procuração firmada pelo Presidente e Vice-Presidente do clube.

Art. 46º - Os balanços da sociedade serão realizados nos dia 31 do mês de dezembro de cada ano, coincidindo o ano social com o ano civil.

Art. 47º - Os casos omissos deste estatuto e dos regulamentos internos serão decididos pelo Conselho Deliberativo.

Art. 49º - O CNCS somente se extinguirá por deliberação da Assembléia Geral de Sócios Patrimoniais, especificamente convocada, deliberando com votos de no mínimo dois terços dos Sócios Titulares, decidindo nessa Assembléia pelo destino de seu patrimônio, tendo em conta Art. 16 destes estatutos.

Art. 49º - The CNCS shall be dissolved only by a decision of the General Assembly, specifically summoned and with the votes of at least two thirds of the Title Members, who shall also decide at that Assembly on the disposal of the assets of the Club, in conformity with Art. 16 of these statutes.
