STATUTES OF THE COLINA DO SOL NATURIST CLUB - CNCS


CAPÍTULO I - DENOMINAÇÃO, SEDE, FORO, DURAÇÃO E OBJETIVOS SOCIAIS 
CHAPTER I - NAME, LOCATION, JURISDICTION, DURATION AND SOCIAL OBJECTIVES

Art. 1º - Com a mesma denominação com que foi fundado aos 15 dias do mês de agosto de 1995, o CLUBE NATURISTA COLINA DO SOL - CNCS é uma associação de fins não econômicos, de duração indeterminada, com sede e foro na localidade de Colina do Sol, distrito de Morro da Pedra, município de Taquara, Estado do Rio Grande do Sul, e reger-se-á pelo presente Estatuto, que importa em alteração e consolidação dos anteriores, e bem assim pela legislação adequada, naquilo que lhe for aplicável.

Art. 1 - Maintaining the same name that it had when it was founded on August 15, 1995, the COLINA DO SOL NATURIST CLUB - CNCS - is a nonprofit, private entity established under civil law; with a duration of an undetermined period of time, located in the municipal district of Taquara/RS in a place known as Colina do Sol (the Hill of The Sun) near the district of Morro da Pedra (Hill of the Stone), which shall be governed by these Statutes which replace and consolidate the prior statutes and, wherever applicable, by regular laws. 

Parágrafo único - O CNCS foi fundado por Celso Rossi, Esis Barros Rocha, Maurino Loch e Paula Fernanda Andreazza, conforme Ata de Assembléia No.1.

Item 1. The CNCS was founded on August 15, 1995 by Celso Rossi, Esis Barros Rocha, Maurino Loch and Paula Fernanda Andreazza, as recorded in the minutes of the General Assembly meeting No.1. 

Art. 2º- O CNCS terá como fonte de recursos a arrecadação de mensalidades, contribuições, taxas, jóias, emolumentos, produto da venda de títulos, concessões e transferências de outras entidades a título de auxílios ou convênios.

Art. 2- The CNCS derives its revenues from member fees, contributions, sales of titles and concessions and fees charged thereon, and funds received from other entities as an aid or accord. 

Parágrafo único - Todos os recursos arrecadados pelo CNCS serão aplicados na manutenção e desenvolvimento dos objetivos fixados no Art. 4º.

Item 1. All the revenues collected by CNCS will be applied to the furthering of the aims listed in Art. 4.

Art. 3º- O CNCS terá, na forma legal, personalidade distinta da dos seus sócios.

Art. 3- The CNCS is a legal entity distinct from its members. 

Art. 4º - Constituem objetivos básicos do CNCS:
      I) Promover a difusão da filosofia e da prática do Naturismo, através das atividades realizadas em sua sede e fora dela, por meio de seus relacionamentos institucionais.
     II) Instituir as normas de ocupação e uso da sede social por parte dos associados e freqüentadores.
    III) Promover atividades culturais, esportivas, recreativas e de assistência social.
     IV) Promover o intercâmbio com entidades congêneres, podendo participar como associada, correspondente ou qualquer outra forma de representação em organizações não governamentais, empresas, fundações e associações do país ou do exterior.

Art. 4 - The basic objectives of the CNCS are: 
I) To foster the diffusion of the philosophy and practice of Naturism by organizing and maintaining the Naturist Center of Colina do Sol located in the Club's headquarters and elsewhere. 
II) To establish the rules for occupying and using the Club's headquarters by members and visitors. 
III) To promote cultural, recreational, athletic activities and social welfare
IV) To promote interchanges with similar entities, where the Club may participate as a member, correspondent, or as another form of representative in nongovernmental organizations, companies, foundations and associations within Brazil, or in other countries.

CAPÍTULO II - SÓCIOS, CATEGORIAS, DIREITOS E DEVERES
CHAPTER II - MEMBERS, CATEGORIES, RIGHTS AND DUTIES

Art. 5º - O CNCS possui Sócios Titulares Patrimoniais, Sócios Titulares Residenciais e Sócios Honorários, bem como Mensalistas. 
§1º São Sócios Titulares Patrimoniais e/ou Residenciais os proprietários de um ou mais dos respectivos títulos. 
§ 2º São Sócios Honorários aqueles escolhidos de acordo com o Art. 9º. 
§ 3º São Mensalistas aqueles que, não sendo Sócios Titulares ou Honorários, têm direito de freqüentar o CNCS regularmente e de participar de suas atividades, mediante contribuições mensais.

Parágrafo único. Para os fins deste Estatuto o termo sócio emprega-se como sinônimo de associado e restringe-se aos Sócios Titulares e Honorários. Informalmente os Mensalistas podem ser chamados de sócios sem que com isso se constituam em sócios stricto sensu para finalidades legais.

Art. 5 - The CNCS has Patrimonial Title Members, Residential Title Members, Honorary Members, and Dues-payers. 

Item 1. Patrimonial and/or Residential Title Members are those who own at least one title of the corresponding type. 

Item 2. Honorary Members are those chosen according to Art. 9º. 

Item 3. Dues-payers are those who, though not being Title Members or Honorary Members, nonetheless are allowed to attend the CNCS regularly and to participate in its activities, by paying monthly dues. 

Special Item. For the purposes of these statutes the term Member is used interchangeably with Associate and it refers exclusively to Title Members and Patrimonial Members. Informally, dues-payers may be called members without this meaning that they are members in the strict sense. 

DOS SÓCIOS TITULARES PATRIMONIAIS
PATRIMONIAL TITLEHOLDERS

Art. 6º - São Sócios Titulares Patrimoniais os proprietários de Títulos Patrimoniais, tendo direito a participarem no patrimônio do CNCS. Os Títulos Patrimoniais adquiridos antes da aprovação do presente Estatuto são mantidos.

Art. 6 - Patrimonial Title Members are the owners of patrimonial titles, and have the right to share in the assets of the CNCS. Patrimonial titles acquired before the approval of the present statute are maintained. 

§1º - Cada Título Patrimonial, ou outro bem relativo ao CNCS, tal como Concessão, é de propriedade de um só indivíduo, mas este pode registrar seu cônjuge ou convivente como co-proprietário(a), ou, ao invés disso, nomear um sucessor. Contanto que atenda as exigências de associação ao CNCS, o co-proprietário ou sucessor herdará os bens e conseqüentes direitos ao falecer o proprietário; se não forem atendidas aquelas exigências, o herdeiro alienará os bens no prazo de um (1) ano, do contrário o CNCS os venderá em prol do herdeiro, cobrando taxa administrativa. Não haverá qualquer requerimento de admissão no caso de cônjuge ou convivente que estava co-habitando com o falecido. 

Item 1 - Each Patrimonial Title or other asset in the Club, such as a concession, is owned by an individual, but a spouse or equivalent may be registered as a co-owner, at the owner's discretion, or, if no co-owner is listed, another person may be designated by the owner as a successor.  Provided club membership requirements are met, the co-owner or successor inherits the assets and corresponding rights upon the owner's death, without paying a fee; if the requirements are not met, the heir must shed those assets within one year, else the Club will sell them on the heir's behalf and levy an administrative fee.  No admission requirement whatever shall apply in the case of a spouse or equivalent who lived with the deceased at the time of death.

§2º- O co-proprietário ou sucessor terá direito a votar e ser votado em Assembléias desde que seja inscrito pelo sócio titular com esta prerrogativa junto aos assentamentos do CNCS. Nessa hipótese perderá o sócio titular o direito a votar ou ser votado em Assembléias, se ambos estiverem presentes ao ato ou concorrerem no mesmo pleito eleitoral, prevalecendo apenas um voto ou uma candidatura. 

Item 2 - A co-owner has the right to vote and be elected at Assemblies if the Titleholder has formally enrolled the co-owner for that purpose in the CNCS office.  In this case the Titleholder will lose its right to vote and be elected at Assemblies if both are present at the election or are running to the same office: only one vote or office will be allowed.

§3°- Os Titulares Patrimoniais são isentos do pagamento de mensalidades, obrigando-se, entretanto, caso sejam detentores de Títulos Residenciais ou Concessões, ao pagamento da respectiva taxa de manutenção nos valores estabelecidos pelo CNCS. 

Item 3- Patrimonial Members are exempt from the payment of monthly dues, but if they hold residential titles or any type of concession, they must pay the corresponding maintenance fees established by the Club

§4º - As transferências por atos inter vivos de Títulos Patrimoniais estão sujeitas ao pagamento de taxa fixada pelo Conselho Deliberativo.

Item 4- The transfer of Patrimonial Titles other than by inheritance will be subject to the payment of transfer taxes as established by the Board of Directors. 

§5º - É limitado em duzentos (200) o número de Títulos Patrimoniais do CNCS.

Item 5- The number of CNCS Patrimonial Titles shall not exceed two hundred. 

RESIDENTIAL TITLEHOLDERS

Art. 7º - São Sócios Titulares Residenciais os concessionários residenciais que tenham uma ou mais  Concessões Habitacionais no CNCS e que estejam em dia com suas obrigações com o CNCS.

Art. 7 - Residential Title Members are residential concession holders who have a dwelling concession at Colina do Sol and are up-to-date with their financial obligations toward the Club. 

§ 1º: Os sócios titulares residenciais não têm o direito de participarem sobre o patrimônio do CNCS. 

Item 1 - Residential Title Members do not the right to share in the assets of CNCS.

Parágrafo único - Para os Sócios Titulares Residenciais também vigora a norma estatuída no Art. 6º § 3º.

Special Item - The rules set in Art. 6 Item 3 also apply to Residential Title Members.

DOS MENSALISTAS

Art. 8º - Para os fins deste Estatuto, é considerado Mensalista a pessoa civilmente capaz que, não possuindo Título Patrimonial ou Residencial do CNCS, pague um valor que será fixado pelo Conselho Deliberativo a título de jóia, o que gera um direito pessoal que é intransferível e que persistirá enquanto permanecer o indivíduo em dia com o pagamento das mensalidades fixadas pelo CNCS.

Art. 8 - For the purposes of this Statute, a dues-payer is a legally capable persons who, not owning CNCS patrimonial or residential titles, pays a joining fee set by the Club.  Dues-payer status is personal and nontransferable, as lasts as long as the person pays the monthly dues set by the Club.

§1°- O Mensalista pode se tornar a qualquer tempo Sócio Titular Patrimonial e/ou Residencial, mediante aquisição do respectivo título, havendo disponibilidade.

Item 1 - A Dues-Payer may become at any time a Patrimonial or Residencial Title Member by acquiring the corresponding title, if one is available. 

§2° - Na hipótese do Mensalista adquirir uma Concessão Residencial, estará isento de pagamento de jóia de aquisição, caso já possua uma Concessão Residencial ou se houver sido Sócio Prioritário.

Item 2 - When a Dues-Payer acquires a Residential Concession, no acquisition fee will be charged by the Club if the buyer already has a residential concession or is an ex-priority-member. 

DOS SÓCIOS HONORÁRIOS
HONORARY MEMBERS

Art. 9º - São Sócios Honorários as pessoas que tenham prestado relevantes serviços ao naturismo, reconhecidos e aprovados pela Assembléia Geral após indicação do Conselho Deliberativo ou de, no mínimo, um quinto (1/5 ) dos Sócios Titulares.

Art. 9 - Honorary Members are persons who have performed significant services on behalf of Naturism, and, having been nominated by the Deliberative Council or by 1/5 of Title Members, are recognized as such by a General Assembly vote. 

Parágrafo Único - Não perdem o título aqueles que tenham sido agraciados até esta data.

Item one - Honorary Members appointed prior to this date shall continue to hold their honorary titles. 

CAPÍTULO III - DOS DIREITOS
CHAPTER III - RIGHTS

Art. 10º - Os Sócios e Mensalistas gozam do direito de freqüentar o CNCS e suas dependências, na companhia:
- do cônjuge ou do convivente;
- dos filhos e das filhas menores de 21 anos;
- dos menores de 21 anos cuja guarda lhe foi confiada, ou ao seu cônjuge ou convivente, por ordem judicial;
- de convidados, observados os limites estabelecidos por regulamento do CNCS.

Art. 10 - Members and Dues-Payers enjoy the right to visit Colina do Sol and use its amenities accompanied by their 
- spouse or equivalent, 
- sons and daughters under the age of 21, 
- dependents under 21 whose care has been officially given to the Patrimonial Member (or spouse or equivalent) by judicial order; 
- guests, up to the limits established by CNCS regulations. 

Parágrafo único - O exercício deste direito fica sujeito aos limites e restrições constantes de regulamentos, resoluções e avisos.

Item One - The exercise of this right is subject to the limits and restrictions set forth in the Club's rules, resolutions, and announcements. 

Art. 11 - Aos Sócios Titulares Patrimoniais cabe o direito de participarem do rateio do líquido do acervo social, na proporção dos títulos que possuírem, no caso de dissolução e liquidação da sociedade. 

Art. 11 - Patrimonial Title Members are granted the right to a share of the Club's liquid assets, proportional to the number of titles they hold, in the case of dissolution and/or liquidation of the Club. 

Art. 12 - Aos Sócios Titulares Patrimoniais e Residenciais cabe ainda o direito de tomar parte nas Assembléias Gerais, Ordinárias e Extraordinárias, onde poderão propor, discutir e votar todos os assuntos que dela forem objeto, bem como serem votados, exceção feita ao que diga respeito diretamente ao Estatuto ou patrimônio do CNCS, sobre o que podem deliberar e votar apenas os Sócios Titulares Patrimoniais.

Art. 12 - Patrimonial and Residential Title Members have also the right to take part in the General Assembly, where they can make proposals, discuss and vote on all subjects under consideration, with the exception that only Patrimonial Title Members can deliberate and decide on matters that concern directly the CNCS's Statute or assets. 

§1º - Por decisão exclusiva dos Sócios Patrimoniais presentes à Assembléia, por maioria simples de votos, fica facultado aos mesmos estender aos Sócios não Patrimoniais presentes o direito de votar sobre aspectos específicos do Estatuto, sem que isso configure direito adquirido.

Item 1 - The Patrimonial Title Members present at an Assembly can, by a simple majority, allow Non-Patrimonial Members to vote on certain specific questions regarding the Statutes.  This decision does not create a precedent for the future.

§2º - O direito a voto e de elegibilidade do Sócio Titular Patrimonial ou Residencial em Assembléias Gerais está condicionado a não ter ele débitos vencidos com o CNCS há mais de quinze (15) dias na data da Assembléia, salvaguardado o direito de votar na qualidade de procurador de outro Sócio.

Item 2 - To vote and be voted at a General Assembly, a Patrimonial or Residencial Title Holder must be up to date, or no more than 15 days in arrears, with his/her obligations to the Club.  The right to vote as a proxy for another Title Holder is not affected by this provision.

CAPÍTULO IV - DOS DEVERES
CHAPTER IV - DUTIES

Art. 13 - São deveres dos Sócios e Mensalistas:
I)Comungar dos princípios estabelecidos neste Estatuto e colaborar com o CNCS na consecução de seus objetivos. 
II)Respeitar e fazer respeitar este Estatuto, o Código de Ética adotado pelo CNCS e o editado pela Federação Brasileira de Naturismo e quaisquer normas estabelecidas pelo Conselho Deliberativo em regimentos e regulamentos.
III)Zelar pelo patrimônio do CNCS.
IV)Pagar, mensalmente, os encargos a que estiverem sujeitos, em razão da sua categoria social e condição de concessionário perante o CNCS.
V)Manter em dia os seus assentamentos junto à Secretaria do CNCS. 

Art. 13 - All Members and Dues-Payers have the following duties:

I) Believe in the principles set forth in this Statute and cooperate with the CNCS in furthering them.
II) Follow and help enforce this Statute, the ethics code set forth by the CNCS and the Brazilian Naturist Federation, and all the rules and regulations established by the Deliberative Council.
III) Care for the Club's property.
IV) Pay monthly dues, according to their membership status and concessions held in the Club
V) Maintain up-to-date records with the CNCS office.

Art. 14 - Em caso de descumprimento do inciso IV, do Art. 13 deste Estatuto e em razão do não pagamento dos débitos contraídos junto ao CNCS, o Associado nomeia e constitui o CNCS seu procurador, com poderes especiais para, em seu nome e por sua conta, assinar títulos representativos do débito, podendo substabelecer, no todo ou em parte, o mandato hora outorgado.

Art. 14 - A member who breaks line IV of article 13 of this Statute automatically grants the CNCS a power of attorney to sign an IOU in his/her name, for the amount owed.

CAPÍTULO V - ADMISSÃO, EXCLUSÃO, INFRAÇÕES E PENAS
CHAPTER V - ADMISSION, PUNISHMENT AND ELIMINATION

Art. 15 - A menos que seja vetada em conformidade com o Parágrafo único do presente artigo, a admissão de Sócios e de Mensalistas se efetivará em seis (6) meses após a respectiva solicitação de ingresso e a quitação dos respectivos pagamentos, desfrutando os mesmos até então provisoriamente, de todos os direitos da categoria social na qual se hajam inscrito e contando esse tempo para os fins previstos neste Estatuto.

Art. 14 - Unless vetoed according to Paragraph One of this article, a Member or Dues-Payer's affiliation shall automatically become effective six months after the new member's membership application, and payment of the respective fees. During this initial six-month period the new member shall enjoy all rights of their membership category. 

Parágrafo único - Qualquer novo sócio, ou mudança de categoria social, poderá ser vetado pelo Conselho Deliberativo num prazo de até seis (6) meses a contar da data de solicitação, sempre que houver inobservância do Estatuto do CNCS ou das demais normas vigentes. Havendo recursos de parte do pretendente, caberá ao Conselho Deliberativo deliberar uma segunda vez sobre a matéria num prazo de até três (3) meses a contar da interposição do recurso.

Item one: The Deliberative Council, for a period of six months beginning at the date that a new member applies for membership, or the date when any member applies to change their membership category, may veto the member's request.  If the candidate appeals, the Deliberative Council should revisit the matter within three months.

Art. 16 - Será excluído do CNCS o sócio que assim o solicitar.

Art. 16 - Any Member who so desires may leave the CNCS.

Art. 17 - Será penalizado ou excluído do CNCS o sócio que:
I)Deixar de pagar contribuições mensais decorrentes de sua categoria social por três (3) meses consecutivos.
II)Deixar de pagar a taxa de manutenção a que estiver sujeito em virtude da condição de concessionário por três (3) meses consecutivos. 
III)Causar dano ao patrimônio do CNCS.
IV)Tiver praticado uma (1) ocorrência de infração grave ou três (3) ocorrências de infrações não graves ao Código de Ética adotado pelo CNCS e ao editado pela Federação Brasileira de Naturismo, infrações estas que deverão ser devidamente comprovadas pelo Conselho Disciplinar.

Art. 17 - The CNCS will discipline or expel Members who:  

I) Fail to pay monthly contributions corresponding to their category for 3 consecutive months, or
II) Fail to pay maintenance tax corresponding to their concessions for 3 consecutive months, or 
III) Harms the Club's property, or
IV) Has one serious offense or three non-serious offenses against the Ethics Code of the CNCS or the ethics code of the Brazilian Naturist Federation, if thoses offenses are proved by the Disciplinary Council.

§1º - Nos casos referidos nos Incisos I a IV, pertinentes a infrações, faltas ou danos, o Conselho Disciplinar do CNCS decidirá sobre as penas a serem aplicadas, através de procedimento disciplinar, instaurado conforme Regimento Interno do CNCS, sendo garantido o direito à ampla defesa e ao contraditório. 

Item 1 - In cases I through IV, the Disciplinary Council will decide on the penalty to be applied, following the procedure established in the Internal Regulations, with the opportunity for defense.

§2º - Estão previstas as seguintes penalidades:
I)Advertência, por violação ao que dispõe o Art.17, incisos I, II e III.
II)Censura, por infringência ao que dispõe o Art.17, incisos I, II e III, desde que reincidente.
III)Suspensão ou exclusão, por infringência ao que dispõe o Art.17, incisos I, II e III, desde que reincidente após censura; inciso III, desde que não reparado o dano no prazo de trinta (30) dias após notificação e pelo previsto no inciso IV.

Item 2 - The following penalties are foreseen:
I) A warning, in cases I, II, III in the main body of this article 17.
II) A formal reprimand, after repeat occurrences of cases I, II, III in the body of this article.
III) Suspension or expulsion, after further occurrences of cases I, II, III following a reprimand (and in case III, if the damage is not repaired within 30 days after notification); and in case IV in the body of this article.

§3º - O sócio excluído poderá recorrer à primeira Assembléia Geral que vier a realizar-se após a exclusão, sem a confirmação da qual o recurso resultará em rescisão da decisão. É assegurado o direito de defesa do acusado, podendo fazer-se representar por pessoa de sua escolha. 

Item 3 - An expelled member can appeal the decision at the next General Assembly meeting; the expulsion will then be reversed should the General Assembly not confirm the Council's decision. The accused shall have the right of defense and of being represented by a person of his/her choice. 

§4º - Em caso de exclusão de Sócios Titulares, o Conselho Deliberativo decidirá sobre o destino dos direitos relativos aos contratos rescindidos e dos títulos reavidos.

Item 4- When a Title Member is expelled, the Deliberative Council will decide on the fate and future of the rights inherent in the canceled contracts and revoked titles. 

§5º - Os mensalistas submetem-se às mesmas regras aplicadas aos sócios, motivo pelo qual também serão aplicadas a estes as penalidades acima, no que couber.

Item 5 - Dues-Payers are subject to the same regulations as Members, and so to the penalties above, where appropriate.

§ 6º - As penalidades acima previstas não excluem medidas judiciais contra o sócio ou mensalista faltoso.

Item 6 - The penalties described above do not preclude legal steps against the offending Member or Dues-Payer.

CAPÍTULO VI - NÃO RESPONSABILIDADE DOS SÓCIOS
CHAPTER VI - NON-LIABILITY OF MEMBERS

Art. 18 - Os Sócios e Mensalistas não respondem individual, solidária ou subsidiariamente pelas obrigações contraídas pela sociedade.

Art. 18 - Members and Dues-Payers are not liable individually, collectively or responsible for the obligations contracted by the Club. 

CAPÍTULO VII - DOS PODERES
CHAPTER VII - GOVERNING STRUCTURE

Art. 19 - São órgãos do CNCS, em ordem hierárquica, a Assembléia Geral dos Sócios Titulares, os Conselhos Deliberativo, Disciplinar e Fiscal e, caso as haja, as Diretorias.

Art. 19 - The government of the CNCS is entrusted to the following entities, in descending order of authority: the General Assembly of Title Members, the Deliberative, Disciplinary, and Fiscal Councils, and, should there be any, the Directors of the CNCS. 

Art 20 - O Conselho Deliberativo poderá criar um foro de debates aberto a todos os associados e dependentes, chamado de Conselho Consultivo, que poderá ter um representante nas reuniões do Conselho Deliberativo, sem poder de voto.

Art 20 - The Deliberative Council can create a forum of debates open to all members and their dependents, called Administrative Council. This Administrative Council can have a representative in the meetings of the Deliberative council, without rights of vote.

Art 21 - No primeiro Domingo do mês de março, realizar-se-á, ordinariamente e independentemente de convocação, a Assembléia Geral Ordinária de Sócios Titulares Patrimoniais, para atender assuntos regulados pelo Artigo 22 e nos anos impares eleger novos Conselhos Deliberativo, Disciplinar e Fiscal.

Art 21 - On the first Sunday of the month of March an Ordinary General Assembly of Title Members will be held without the need for a summons to conduct Assembly business listed in Art. 22 paragraph 1 and on odd years to elect new Deliberative, Disciplinary and Fiscal Councils.

Parágrafo único - O processo eleitoral será regido pelas normas constantes do Regimento Interno e por Resoluções do Conselho Deliberativo. A posse dos Conselheiros Eleitos para os Conselhos Deliberativo, Disciplinar e Fiscal, será imediatamente após a promulgação dos resultados da eleição.

Item One - The electoral procedure will be govered by the internal rules and regulations and by resolutions of the Deliberative Council.  The term of Councilors elected for the Deliberative, Disciplinary and Fiscal Council starts immediately after the election results are made public.

Art. 22 - Compete à Assembléia Geral eleger os Conselhos Deliberativo, Disciplinar e Fiscal, votar sobre as propostas de Sócios Honorários, apreciar as contas do CNCS após o exame pelo Conselho Fiscal, bem como promover alterações estatutárias, respeitado o disposto no artigo 12 deste estatuto, podendo ainda vetar as decisões dos Conselhos Deliberativo, Disciplinar e das Diretorias de acordo com o disposto no Art. 25, § 8º. 

Art. 22 - The General Assembly shall elect the Deliberative Council and the Fiscal Council, vote on the nomination of Honorary Members;  approve the general accounts of the club after they are examined and approved by The Fiscal Council; and to approve reforms in the governing rules and Statutes; it may also veto decisions of the Deliberative Council, according to Art. 22, paragraph 6. 

§1º As alterações estatutárias promovidas em Assembléia Geral entrarão em vigor 15 dias após o registro em cartório da respectiva ata de alteração ou estatuto consolidado. 

Item 1 - Changes in the Statute approved at the General Assembly shall take effect 15 days after the corresponding minutes are recorded at the Notary's office.

Art. 23 - A convocação da Assembléia Geral ocorrerá pelo menos trinta (30) dias antes da sua efetiva realização e incluirá a data, hora e local da Assembléia, bem como sua pauta e o texto de qualquer resolução ou mudança do Estatuto proposta, para permitir aos sócios a análise prévia e a troca de idéias. Caso sejam propostas emendas ao texto da resolução ou da mudança de Estatuto durante a Assembléia, será elaborada pelo Conselho Deliberativo uma versão consolidada do referido texto, que, no entanto, só vigerá se aprovada por maioria simples, mediante contagem separada de votos, ocorrida entre 15 e 21 dias após a divulgação da ata da Assembléia em que se originou, sendo solicitado mediante essa divulgação o voto de todos os sócios sobre as questões pendentes dentro do período de 15 dias.

Art 23- A call for a General Assembly must take place at least 30 days before the date of the meeting, and it shall include the date, time and venue of the meeting, as well as its agenda and the text of any proposed resolution or change in statutes, in order to allow members to study and discuss the issues. Should, during the meeting, amendments to the text of a resolution or change in statutes be proposed and approved, the Deliberative Council shall prepare a consolidated version incorporating such amendments, but it will only take effect if approved by a simple majority in a separate vote taken within 15 to 21 days after a mailing is sent out to the Membership containing the minutes of the Assembly in question and the request that all members vote on the pending matters. 

Art. 24 - A participação nas Assembléias Gerais é regida pelas condições do Art. 12, sendo que cada sócio disporá na Assembléia de apenas um (1) voto, seja qual for o número de títulos que possuir, podendo fazer valer seu voto por correspondência e por meios eletrônicos devidamente autenticados, ou ainda por procuração, não podendo o mesmo procurador representar mais de três (3) sócios além de si mesmo. O cônjuge ou convivente de sócio titular pode estar presente às Assembléias. 

Art 24 - Participation in the General Assembly is governed by the conditions set for in Art. 12, each member having the right to cast one vote, whatever the number of titles he possesses, and having the right to cast votes by mail or email, with appropriate authentication procedures, or yet by proxy, with the proviso that a proxy-holder cannot represent more than three members besides himself or herself. The spouse or equivalent of a title member may be present at Assembly meetings. 

§1º - As Assembléias Gerais serão convocadas pelo Conselho Deliberativo por iniciativa própria ou, sem mora desnecessária, a pedido do Conselho Fiscal ou de um quinto (1/5) dos Sócios Titulares. A convocação da Assembléia Anual regulada pelo Art. 21 deste Estatuto é obrigatória.

Art 1 - General Assembly meetings shall be summoned by the Deliberative Council by its own initiative, or, without unnecessary delay, by request from the Fiscal Council or of 1/5 of the Title Members.  The summoning of the Annual Assembly discussed in Art. 21 of this Statue is obligatory.

§2º - Compete privativamente às Assembléias Gerais:
I)Eleger os Conselheiros.
II)Destituir os Conselheiros.
III)Aprovar as contas.
IV)Alterar o Estatuto.

Item 2 - Only the General Assembly can:
 I -  elect administrators
II -  dismiss administrators
III -  approve accounts
IV - alter statutes

§3º - Para as deliberações a que se referem os incisos II e IV do §2º deste artigo é exigido o voto concorde de um mínimo de dois terços (2/3) do total de votantes, definido como a soma do número de Sócios Titulares presentes à Assembléia, dos que votaram por correspondência e dos representados por procuração, sendo subtraídas as abstenções. A Assembléia não poderá deliberar em primeira (1ª) convocação, sem a maioria absoluta dos Sócios Titulares, ou com menos de um terço (1/3) nas convocações seguintes. 

Item 3 - The approval of changes relating to II and IV in Item 2 of this article requires a yes vote on the part of at least 2/3 of the total number of voters, this number being defined as follows: the number of Title Members present at the Assembly, plus those that voted by mail and by proxy, minus abstentions. The quorum for such an Assembly is an absolute majority of Title Members at the first summons, or 1/3 of the Title Members at subsequent summons. 

§4º Para as deliberações a que se refere o inciso I, § 2º deste artigo, não se exige quorum e serão empossados os candidatos mais votados, observado o disposto no artigo 25, §1º.

Item 4 - For elections (line I of Item 2 in this article) do not require a quorum, and the candidates who get the most votes will be invested, so long as the conditions in Item 1 of Article 25 are met.  

§5º Para as deliberações a que se refere o inciso III ou quaisquer outras decisões votadas em assembléia geral, requer-se o voto favorável da maioria dos votantes, segundo os define o § 3º. Para essas deliberações exige-se que o número de votos favoráveis exceda a um quarto (1/4) do número total de Sócios Titulares.
Item 5 - The approval of changes relating to III in Item 2 of this article, or any other matter not otherwise specified, requires a yes vote on the part of at a majority of the total number of voters, this number being defined as in Item 3 above.  For such decisions it is also required that the number of favorable votes be more than 1/4 of the total number of Title Members.

Art. 25 - Compete ao Conselho Deliberativo elaborar o Regimento Interno, dispor sobre a administração e destino dos recursos do CNCS, contratar e demitir os Diretores que julgar necessários, com poder de revogar ou vetar os atos destes. As reformas instituídas no Regimento Interno entrarão em vigor trinta (30) dias após o registro em cartório.

Art. 25 - It falls upon the Deliberative Council to create the Internal Regulations, to decide on the administration and use of the resources of the club, to hire and dismiss the Directors, whose actions can be revoked by the Deliberative Council.  Changes in internal regulations has take effect thirty days after being recorded at the Notary's office.

§1°- O Conselho Deliberativo é composto de sete (7) Conselheiros, sendo no mínimo quatro (4) Titulares Patrimoniais em sua composição inicial. Os sete (7) Conselheiros em exercício serão eleitos para um mandato de dois (2) anos pela Assembléia Geral do primeiro Domingo do mês de março nos anos ímpares. Entre os candidatos não eleitos, os três (3) mais votados servirão como suplentes pelos mesmos dois (2) anos, entrando em exercício um a um por ocasião da desistência ou do afastamento de um Conselheiro por mais de três (3) meses, mantida a ordem de votação na medida em que isso não conflite com o desiderato de que os Sócios Patrimoniais permaneçam em maioria. Caso não haja mais suplentes, será convocada uma Assembléia Geral para a eleição de três (3) novos suplentes.

Item 1- The Deliberative Council is made up of 7 Council members, at least 4 being Patrimonial Title Members at the beginning of the term.  The 7 active Councilors will be elected by the regularly scheduled General Assembly on odd-numbered years for a two-year term.  The next three most voted candidates will serve as substitutes for the same two year period. Should an active Council member resign or be absent for more than three months, he/she will be replaced by a substitute, in order of number of votes, so long as this does not conflict with the goal of there being a majority of Council members be Patriomial Title Holders.   If there are no more substitutes, a General Assembly will be called to elect three new substitutes.

§2°- Podem ser eleitos ao Conselho Deliberativo apenas os Sócios Titulares Patrimoniais e Residenciais que já sejam sócios ou mensalistas há pelo menos dois (2) anos na data da eleição, que estejam adimplentes com suas obrigações financeiras junto ao CNCS por um período mínimo de seis (6) meses antes da eleição, não tenham sofrido nenhuma penalidade prevista no Capítulo V nos últimos três (3) anos antes da eleição, nem tenham renunciado ao cargo de Conselheiro no mandato imediatamente anterior, exceto por motivo de força maior.

§2- To be eligible for the Deliberative Council one must be a Patrimonial or Residential Title Member, must have been a Member or Dues-Payer for at least two years as of the date of the election, must have been current in all financial obligations to the Club in the six months before the election, must not have been disciplined as in Chapter V, for the three years before the election, and must have not have resigned from the Council in the immediately preceding term, except in the case of extenuating circumstances.

§3°- As decisões do Conselho Deliberativo requerem um mínimo de quatro (4) votos favoráveis de Conselheiros em exercício.

Item 3- Decisions of the Deliberative Council require a minimum of four (4) favorable votes by active Council members. 

§4°- Para a prática dos atos decorrentes das suas decisões, o Conselho Deliberativo elegerá dois (2) de seus membros, que assinarão sempre em conjunto, representando o CNCS, ativa e passivamente, em juízo e fora dele, e que se denominarão Presidente e Vice-Presidente do CNCS para os fins de direito. Poderá também instituir áreas internas de competência, subdividindo as respectivas responsabilidades entre seus integrantes, através de Presidências específicas ou outra denominação. Poderá, ainda, nomear seus membros para ocupar, em caráter voluntário e não-remunerado, qualquer dos cargos de Diretoria descritos no Art. 29.

Item 4- The Deliberative Council shall elect two of its members to represent the CNCS as President and Vice-President and they shall both sign the documents resulting from the actions and decisions of the Deliberative Council. The Council may also appoint some of its members to perform specific tasks or oversee specific areas.  It can also appoint any of its members to the Director functions described in Article 29, on a voluntary basis and without remuneration. 

§5°- O Conselho Deliberativo reunir-se-á pelo menos uma (1) vez por mês, podendo fazê-lo com mais freqüência conforme julgar necessário. Os Conselheiros em exercício serão informados das reuniões extraordinárias com antecedência mínima de 7 (sete) dias corridos.

Item 5- The Deliberative Council will meet at least once a month, but it can meet more often if it finds it necessary to do so. Active Council members will be informed of the dates and times of non-regularly scheduled meetings at least 7 calendar days ahead of time. 

§6º - O Conselho Deliberativo regrará formas de participação dos Sócios na constituição da pauta das reuniões. 

Item 6 - The Deliberative Council shall set up ways in which Members can give input into the agenda for meetings.

§7º - As atas de cada reunião serão preparadas e comunicadas aos demais Conselheiros prontamente, para serem submetidas à reunião seguinte para aprovação, com ou sem leitura em voz alta, e registrando no mínimo o conteúdo de cada decisão e o número de votos contra e a favor, bem como texto de qualquer novo regulamento ou mudança nos regulamentos. Após aprovação as atas serão disponibilizadas aos Sócios e Mensalistas. 

Item 7 -The minutes of each meeting shall be prepared and communicated to other Council members promptly, so they can be submitted for approval at the next meeting, with or without being read aloud. They shall reflect at least the result of each decision including the number of votes for and against, as well as the text of any new regulation or change in regulations. After approval the minutes shall be made available to Members and Dues-Payers. 

§8°- Qualquer decisão do Conselho Deliberativo poderá ser vetada por solicitação assinada por um terço (1/3) dos Sócios Titulares. A impugnação deverá ser protocolada na secretaria do CNCS, num prazo de sessenta (60) dias a partir da divulgação da ata correspondente, para reexame em Assembléia Geral, convocada pelo próprio Conselho Deliberativo especialmente para tal fim, que terá lugar dentro de sessenta (60) dias após a apresentação das assinaturas, e anunciada de acordo com o Art. 23.

Item 6- Any decision of the Deliberative Council can be vetoed through a request signed by a third of the Title Members.  This request must be filed at the Club's office within sixty days of the issuance of the corresponding minutes, and shall then be reexamined at a General Assembly, summoned by the Deliberative Council, to take place within sixty days of receipt of the signed request, and announced in conformity with Art. 23

§9°- As reuniões do Conselho Deliberativo serão abertas aos sócios Patrimoniais e Residenciais. Em nenhum caso a audiência poderá interromper as sessões do Conselho Deliberativo através de manifestações, reservando-se a palavra aos Conselheiros e àqueles a quem os Conselheiros a quiserem dar.

Item 9- Meetings of the Deliberative Council are open to Patrimonial and Residential Members. There shall be no audience interruptions or demonstrations during meetings of the Deliberative Council, and only the Council members and those whom they recognize shall have the right to speak. 

§10°- Os demais deveres e procedimentos do Conselho Deliberativo estão previstos no Regimento Interno.

Item 10 - The Deliberative Council's remaining duties and procedures are detailed in the Manual of the Deliberative Council. 

Art. 26 - Compete ao Conselho Disciplinar julgar questões disciplinares que lhe forem apresentadas pelo Conselho Deliberativo, de acordo com o Art. 17 deste Estatuto. 

Art. 26 - It falls upon the Disciplinary Council to judge disciplinary question put forth to them by the Deliberative Council, in accordance with Art. 17 of this Statute.

Art. 27 - O Conselho Disciplinar é composto de três (3) Conselheiros eleitos, por um mandato de dois (2) anos, pela Assembléia Geral do primeiro Domingo do mês de março nos anos ímpares. Os candidatos não eleitos, até o terceiro (3º) em ordem de votação, servirão como suplentes pelo mesmo período de dois (2) anos. No caso de desistência ou afastamento por mais de três (3) meses de um Conselheiro em exercício será este substituído, em seu mandato, por um suplente. Caso não haja mais suplentes, será convocada Assembléia Geral para eleição de três (3) novos suplentes. 

Art. 27- The Disciplinary Council is made up of 3 Council members elected by the regularly scheduled General Assembly on odd-numbered years for a two-year term.  The next three most voted candidates will serve as substitutes for the same two year period. Should an active Council member resign or be absent for more than three months, he/she will be replaced by a substitute.   If there are no more substitutes, a General Assembly will be called to elect three new substitutes.

Special Item - To be eligible for the Disciplinary Council one must be a Patrimonial or Residential Title Member, must have been a Member or Dues-Payer for at least 3 years as of the date of the election, must have been current in all financial obligations to the Club in the six months before the election, must not have been disciplined as in Chapter V, for the three years before the election, and must have not have resigned from the Council in the immediately preceding term.

Art. 28 - O Conselho Fiscal é composto de três (3) Conselheiros com mandato coincidente com o do Conselho Deliberativo, a ele competindo fiscalizar as contas e os atos dos Diretores e do Conselho Deliberativo. 

Art. 23 - The Fiscal Council consists of three persons having the same terms as the Deliberative Council. This Fiscal Council has the mandate to oversee the accounting and the actions of the Directors and of the Deliberative Council. 

§1º - Podem ser eleitos ao Conselho Fiscal apenas os Sócios Titulares Patrimoniais e Residenciais que já participem do CNCS há pelo menos um (1) ano da data da eleição, na condição de Sócios ou Mensalistas, que sejam adimplentes com suas obrigações financeiras junto ao CNCS por um período mínimo de seis (6) meses antes da eleição, não tenham sofrido nenhuma penalidade prevista no capítulo V nos últimos três (3) anos e nem tenham renunciado ao cargo de Conselheiro no mandato imediatamente anterior. §2º - O Conselho Fiscal poderá contar com a colaboração de profissionais especializados, Sócios ou não sócios, preferentemente não remunerados.

Item 2 -The Fiscal Council may work with specialized professionals, whether Members or not, preferably without remuneration.

Art. 29 - O Conselho Deliberativo poderá contratar funcionários pagos pelo CNCS e aceitar trabalho voluntário não remunerado, para exercer funções tais como Tesoureiro, Secretário, Diretor Administrativo, Diretor Social, Diretor Operacional e outras que se fizerem mister, criando ou extinguindo tais cargos conforme a necessidade. Tais funcionários são coletivamente chamados, neste Estatuto, de Diretores. Quando remunerados, os Diretores não poderão pertencer aos Conselhos Deliberativo, Disciplinar e Fiscal.

Art 29 - The Deliberative Council may hire employees paid by the CNCS and accept unpaid volunteer work to fulfill such functions as Treasurer, Secretary, Administrative Director, Social Director, Operational Director and others deemed necessary, creating and terminating such positions as needed. In these statutes such employees are collectively called the Club Directors. A paid Director cannot be a member of the Deliberative, Disciplinary or Fiscal Council. 

Parágrafo único - Os Diretores não terão poder para representar o CNCS, a não ser quando expressamente autorizados, mediante procuração firmada pelo Presidente e Vice-Presidente do CNCS, concomitantemente.

Item 1 - The Directors do not represent the club, except when expressly authorized to do so by a power of attorney signed by the President and Vice-President. 

CAPÍTULO VIII - OUTRAS DISPOSIÇÕES
CHAPTER VIII - OTHER MATTER

Art. 30 - Os balanços do CNCS serão realizados nos dia 31 do mês de dezembro de cada ano, coincidindo o ano social com o ano civil.

Art. 30 - The fiscal year of the Club shall coincide with the calendar year, and the closing date for financial reports shall be December 31. 

Art. 31 - O patrimônio do CNCS se constitui dos bens móveis, imóveis e direitos da sociedade.

Art. 31 - The assets of CNCS consist of real assets, movable assets and rights. 
Art. 32 - Os casos omissos deste Estatuto e dos regulamentos internos serão decididos pelo Conselho Deliberativo.

Art. 32 - Matters not covered by these Statutes or internal regulations shall be resolved by the Deliberative Council. 

Art. 33 - O CNCS somente se extinguirá por deliberação da Assembléia Geral de Sócios Titulares Patrimoniais, especificamente convocada para este fim, deliberando com votos de no mínimo dois terços (2/3) dos Sócios, decidindo nessa Assembléia pelo destino de seu patrimônio, tendo em conta o Art. 11 deste Estatuto.

Art. 33 - The CNCS shall be dissolved only by a decision of the General Assembly, specifically summoned and with the votes of at least two thirds of the Title Members, who shall also decide at that Assembly on the disposal of the assets of the Club, in conformity with Art.11 of these statutes. 

Art. 34 - O presente Estatuto entrará em vigor no prazo de 15 (quinze) dias após seu registro em Cartório. 

Art. 34 - This Statute will take effect 15 days after it is recorded at the Notary's office.
